03/26/2024 | 754 | ORDER: On March 13, 2024, San Jorge Childrens Hospital, Inc. (Debtor) filed a Notice of Assumed and Assigned Executory Contracts (the Notice) (Dkt. # 730). Such notice included a shortened objection language of twelve (12) days, until March 25, 2024 at 4:00p.m., and stated in bold and uppercase that Debtor will move the court in open court for shortened notice (Dkt. # 730, p. 6.) At the confirmation hearing held on March 14, 2024 (the Confirmation Hearing), Debtor moved the court, as stated in the Notice, to shorten its objection period considering that the closing of the asset sale will occur at the end of the month. Minute Entry, Dkt. # 742, p. 2. Pursuant to the First Amendment to Asset Purchase Agreement, the closing date of the asset sale shall be on or prior to March 28, 2024 (Dkt. # 719-1, p. 1.) No party in interest objected to the shortened objection period or raised any issue regarding the Notice at the Confirmation Hearing and the court granted the request for the shortened objection period. On March 25, 2024, at 3:57p.m., Softwareone Puerto Rico, Inc. (SWO), party to an executory contract that Debtor seeks to assume and assign in the Notice, filed a motion for extension of time requesting an additional ten (10) days to file an objection thereto (Dkt. # 753). SWO argued that Debtor owes pre and post-petition amounts under the contract with such entity and it needed additional time to locate all the supporting documents in order to be able ascertain the exact amounts to be cured. . . Dkt. # 753. SWO failed to raise an objection to the shortened objection period and failed to raise an objection to the Notice by the deadline of March 25, 2024 at 4:00pm. Furthermore, the Notice advised that a partys failure to file a timely objection barred, estopped and enjoined such party from objecting to the proposed assumption and assignment on any grounds (Dkt. # 730, p. 6.) The court finds that SWO had sufficient time to determine the amount owed by the Debtor under the contract to be assumed and thus file a timely objection, if need be, to such assumption. SWO did not provide any compelling reason for the court to grant such extension to the significant detriment of parties in interest who have diligently moved this case for the closing of the sale to occur on or prior to March 28, 2024. SWO waited until three minutes before the objection deadline to request an additional ten (10) days, which as stated, would fall after the deadline to close the asset sale. For the reasons stated above, SWOs motion for extension of time to object to the Notice (Dkt. # 753) is hereby denied. (RE: related document(s)730, 742, 753).
